Terms of Service

Last updated October 12, 2026

These Terms of Service (“Terms”) are a binding agreement between you and Simplisik LLC, a Tennessee limited liability company (“Simplisik”, “we”, “us” or “our”). They govern your use of Scenava, including the Scenava mobile app, the dashboard at app.scenava.com, tours we host at scenava.com and view.scenava.com, embeddable tour players, and the scenava.com website (together, the “Services”).

If you use the Services for a company or other organization, you accept these Terms on its behalf and confirm that you have authority to bind it. In that case “you” means the organization.

Please read Section 18 carefully. It requires most disputes between you and us to be resolved by binding individual arbitration instead of in court, waives class actions and jury trials, and explains how to opt out within 30 days.

By creating an account, starting a trial or subscription, or using the Services, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use the Services.

1. The Services

Scenava lets you capture spaces with a phone, process those captures into 3D tours, and host and share the tours by link or embed. Which features you can use depends on your plan and your device. For example, LiDAR room scanning only works on supported iPhones.

We continually improve the Services and may add, change or remove features. If a change materially reduces the core functionality of a paid plan you have already paid for, we will notify you. If you cancel because of that change within 30 days of our notice, we will refund the unused portion of your prepaid fees.

Features we label as beta, preview or early access are provided as-is. They may change or be discontinued at any time and are excluded from any commitments in these Terms.

2. Eligibility

To use the Services you must:

  • be at least 18 years old and able to form a binding contract;
  • not be barred from using the Services under the laws of the United States or any other applicable jurisdiction;
  • not be located in a country subject to a U.S. government embargo or designated as a “terrorist supporting” country, and not be on any U.S. government list of prohibited or restricted parties.

The Services are designed for professional and business use, such as real estate agents, property managers, venues and photographers. They are not directed to children.

3. Accounts and workspaces

Your account

Provide accurate information when you sign up and keep it up to date. Keep your password confidential, and use your own login rather than sharing one. You are responsible for all activity under your account. Contact us right away if you think someone has accessed your account without permission.

Workspaces

Tours, scans and settings belong to a workspace. The person or organization that controls a workspace (through its admins) controls the content, membership, roles and billing of that workspace. If you join someone else’s workspace, its admins can access, change, transfer and delete the content you create there, and can remove you. The workspace’s controller is responsible for its members’ use of the Services. Each plan includes a set number of seats.

Linking devices

Pairing codes and QR codes from the dashboard sign a phone into your account. Treat them like passwords and do not share them.

Service communications

We may send you messages about your account, scans, billing, security and changes to the Services or these Terms. These are part of the Services and you cannot opt out of them while you have an account. You can turn off push notifications in your device settings. If we send marketing emails, each one will include a way to unsubscribe.

4. Plans, trials and billing

Plans

We offer a free Starter plan and paid plans (currently Pro and Team). Each plan’s features, prices and limits are described on our pricing page and shown in the dashboard when you choose a plan. Limits include active tours, seats and storage. Where a plan feature is described as “unlimited”, there is no fixed numeric cap on that item. It is still subject to the plan’s other limits (such as storage), reasonable use and these Terms.

We may change the features or limits of the free plan, or discontinue it, by giving at least 30 days’ notice.

Automatic renewal

Paid plans are subscriptions that renew automatically until you cancel. At the start of each billing period (monthly or annual, as you choose) we charge your payment method the then-current price for your plan, plus applicable taxes. Before you buy, the checkout page shows the price, billing frequency and renewal terms.

Free trials

A workspace may get one free trial of a paid plan, for the length shown at checkout (currently 14 days). You need to provide a payment method to start a trial. Unless you cancel before the trial ends, the trial automatically becomes a paid subscription. We will then charge the plan price shown at checkout when the trial ends, and every month or year after that until you cancel. If you cancel during the trial, you will not be charged.

How to cancel

You can cancel at any time, online, from Billing in the dashboard (choose Manage billing). You can also cancel by emailing legal@scenava.com from your account email. Cancellation takes effect at the end of the current billing period or trial. Paid features stay available until then, and you will not be charged again.

Refunds

Except where these Terms say otherwise or the law requires, payments are non-refundable. We do not give refunds or credits for partial billing periods, unused features or tours, or downgrades.

Changing plans

If you switch between paid plans or billing periods, the change takes effect immediately. Charges or credits are prorated as shown when you make the change.

When a paid subscription ends, your workspace returns to the Starter plan. Features not included in Starter, such as custom branding, visitor analytics and password protection, may stop working, and “Powered by Scenava” branding returns to your tours. We may unpublish tours above the Starter limits after giving you notice.

Price changes

We may change our prices. We will notify you at least 30 days before a price change applies to you. The new price starts at your first renewal after the notice period, and you can cancel before then to avoid it.

Payment, taxes and failed payments

Payments are processed by our payment processor, Stripe. You authorize us and Stripe to charge your payment method for all fees you incur. Prices do not include taxes unless stated. We will add sales, use or similar taxes where we are required to collect them, and you are responsible for any other taxes on your purchase.

If a payment fails, we may retry it. If the problem is not fixed after notice to you, we may suspend paid features or move your workspace to the Starter plan.

Reminders and promotions

Where the law requires it, we will remind you before a trial converts or a subscription renews, including how to cancel. Promotional codes are subject to the terms shown with them, have no cash value and cannot be combined unless we say so.

5. Your content

You own your content

“Your Content” means the photos, captures, room names and outlines, hotspots, descriptions, media, logos, contact details, property details and other material that you or your workspace members submit to the Services, and the tours generated from them. It does not include our software, including the tour viewer. As between you and us, you own Your Content.

License you give us

You grant us a worldwide, non-exclusive, royalty-free license to host, store, copy, process, modify, create derivative works from, display, publicly perform and distribute Your Content. Derivative works include stitching photos into panoramas and generating floor plans and 3D views. This license is only for operating, providing, securing, supporting and improving the Services. It includes showing published tours to anyone with access to their link or embed, and showing link previews when a tour is shared. It lasts while Your Content is on the Services and for the deletion period described in our Privacy Policy. Our service providers may exercise it on our behalf.

We do not sell Your Content, and we will not use your tours in our marketing without your permission. We may create aggregated or de-identified data from use of the Services (for example, processing statistics) and use it for any lawful purpose. Such data will not identify you, your workspace, a property address or any individual.

Scanning and publishing responsibly

You promise that you have, and will keep, every right, consent and permission needed for Your Content and for us to use it as these Terms describe. In particular:

  • you have permission from the property owner, and from current occupants or tenants where applicable, to capture and publish the space, and you have given any notice your lease or the law requires;
  • you have consent from any identifiable person shown in Your Content, or you have removed them;
  • you have the rights you need to any artwork, photographs, logos or other protected material shown in Your Content;
  • your tours and listings comply with the laws and rules that apply to you, including real estate advertising rules, MLS rules, the federal Fair Housing Act and similar laws, and privacy laws.

Scenava does not automatically detect or blur faces, people or other sensitive details. Before you publish, review your tour for people (especially children), mail, documents, screens, photos, medication, security systems and keypads, valuables, and anything else you or the occupants would not want shown publicly. For occupied homes, consider password protection.

Keep your own copies

After a scan uploads, the app deletes its photos from your phone, so the Services may hold the only copy. We work to protect Your Content, but the Services are not a backup or archiving service. Keep copies of anything you cannot afford to lose.

Our right to remove content

We do not have to monitor Your Content, but we may review it. We may remove it or disable access to it if we reasonably believe it violates these Terms or the law, or could harm people or the Services.

6. Publishing, sharing and embeds

Visibility

You choose how each tour is shared:

  • Public: anyone with the link can view it, and search engines may index it.
  • Unlisted: search engines are asked not to index it, but anyone who has the link can view it and pass it on. Unlisted is not private.
  • Password-protected (on plans that include it): viewers must enter a password. This lowers the risk of unwanted viewing but cannot rule it out, because anyone you give the password to can share it or record what they see.

Contact details, property details and branding you add to a tour can be seen by anyone who can view the tour. Once a tour is published, viewers can screenshot, record or share it. Browsers, search engines, social platforms and networks may also keep cached copies. Unpublishing or deleting a tour stops us from hosting it, but cannot remove copies others have already made.

Embedding

While you have an account, we grant you a limited, non-exclusive, revocable license to embed the Scenava viewer using the code we provide. You may use it on websites and listing services you control or are authorized to use. You may change the code only through the options we document. You are responsible for the sites where you embed tours, including any privacy notices or consents those sites need. That includes notice of the visitor analytics described in our Privacy Policy.

Scenava branding

On plans that show “Powered by Scenava” branding, you may not hide, cover or remove it.

Hosting

We host your published tours while your account is in good standing and the tours stay within your plan’s limits. Tours may be briefly unavailable during maintenance or outages.

7. Measurements and accuracy

Tours, floor plans, room outlines, dimensions, areas, ceiling heights, 3D models and dollhouse views are generated from phone sensors, your input (such as traced outlines) and automated image processing. They are approximate, may contain errors or visual artifacts, and are for visualization only.

Do not rely on them for appraisals, valuations, square-footage representations, legal descriptions, surveys, construction or renovation, insurance, code compliance or safety decisions. Verify measurements independently. If you share measurements, areas or property details with others, including in listings, you are responsible for their accuracy and for any disclosures your profession requires. Property details you enter, such as bedrooms, bathrooms, area and price, are your statements, not ours.

8. Acceptable use

You will not, and will not let anyone else:

  • capture a space you are not authorized to capture, or capture people without their consent where they have a reasonable expectation of privacy (for example, while undressed or in an occupied bathroom or bedroom);
  • use the Services for surveillance, covert recording, stalking or harassment;
  • upload or publish content that is illegal, infringing, defamatory, sexually explicit, harassing, hateful or violent, or that exploits or endangers minors. We report apparent child sexual abuse material to the National Center for Missing & Exploited Children;
  • publish fraudulent or misleading listings, such as tours of properties you have no right to rent or sell, tours copied from someone else, or rental scams;
  • use the Services in a way that violates fair housing or anti-discrimination laws;
  • use hotspots, links or tours to distribute malware, phishing, spam or unlawful content;
  • access, or try to access, other people’s accounts, workspaces, password-protected tours or non-public data;
  • probe, scan or test the Services for vulnerabilities without our written permission. If you find a security issue, please report it to legal@scenava.com;
  • interfere with or overload the Services, or get around rate limits, plan limits, access controls or required branding;
  • scrape, crawl or bulk-download the Services or other users’ tours, except through features we provide;
  • reverse engineer the Services, except to the extent the law allows despite this restriction;
  • use the Services to build a competing product;
  • violate any law or anyone else’s rights, including export control and sanctions laws.

You may use the Services to create and host tours for your clients, for example as a photographer or agency. You are responsible for that work and for your clients’ use of the tours. You may not otherwise resell or sublicense access to the Services without our written agreement.

We respond to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act (17 U.S.C. § 512). If you believe content on the Services infringes your copyright, send our designated agent a written notice that includes:

  1. your physical or electronic signature;
  2. a description of the copyrighted work you claim is infringed;
  3. the material you claim is infringing and where it is, such as the tour link;
  4. your name, mailing address, telephone number and email address;
  5. a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent or the law; and
  6. a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act for the owner.

Our designated agent is:

Copyright Agent, Simplisik LLC
5510 Old Hickory Blvd, Suite B #32
Hermitage, TN 37076
Phone: (615) 879-5066
Email: legal@scenava.com

Counter-notices. If your content was removed and you believe that was a mistake or a misidentification, you may send our agent a counter-notice that includes:

  1. your physical or electronic signature;
  2. a description of the material that was removed and where it appeared before it was removed;
  3. a statement, under penalty of perjury, that you have a good-faith belief that the material was removed or disabled by mistake or misidentification;
  4. your name, address and telephone number, and a statement that you consent to the jurisdiction of the federal district court for your address (or, if you are outside the United States, any judicial district in which we may be found), and that you will accept service of process from the person who sent the original notice.

If we receive a valid counter-notice, we may restore the material in 10 to 14 business days unless the original complainant tells us they have filed a court action. Anyone who knowingly makes a material misrepresentation in a notice or counter-notice may be liable for damages under 17 U.S.C. § 512(f). In appropriate circumstances, we terminate the accounts of repeat infringers.

For other complaints, such as privacy, trademark or harmful content, contact us using the details in Contact us.

10. Privacy and tour visitor data

Our Privacy Policy explains how we handle personal information. When you publish tours, we process some personal information on your behalf: analytics about people who view your tours, and information about people or property in Your Content (together, “Customer Personal Data”). For Customer Personal Data, we act as your service provider or processor, and we:

  • process it only to provide the Services, as you direct through your use of the Services, or as the law requires;
  • do not sell it, do not share it for cross-context behavioral advertising, and do not retain, use or disclose it outside our direct business relationship with you, except as the law permits;
  • keep it confidential, protect it with reasonable security measures, and require our subprocessors to protect it through written obligations;
  • reasonably help you respond to privacy requests from individuals, and tell you if we can no longer meet our obligations under applicable privacy law;
  • delete it when you delete the related tour or your account, as described in our Privacy Policy.

You are responsible for having a lawful basis to collect Customer Personal Data through your tours, including any notices or consents required on your own websites.

11. Third-party services

The Services work with third-party products and services, such as app stores, Stripe, listing services and websites where you embed tours. Your use of those is governed by their own terms and privacy policies, and we are not responsible for them. Links in tours and hotspots may lead to third-party sites that we do not control.

On Android, the Scenava app runs on Google Play Services for AR (ARCore), which is provided by Google and governed by the Google Terms of Service and the Google Privacy Policy.

12. Our intellectual property

We and our licensors own the Services, including our software, tour viewer, designs, documentation, and the Scenava name and logo. These Terms do not give you any rights to them except the limited rights stated here.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Scenava app on devices you own or control, for your use of the Services. Open-source components in the Services are licensed under their own terms.

If you send us feedback or suggestions, we may use them freely and without any obligation to you.

13. Mobile app terms (Apple and Google)

If you downloaded the Scenava app from Apple’s App Store, you and we also agree that:

  1. these Terms are between you and Simplisik LLC only, not Apple. Simplisik LLC, not Apple, is solely responsible for the app and its content;
  2. your license to the app is a non-transferable license to use it on Apple-branded products you own or control, as permitted by the Usage Rules in Apple’s Media Services Terms and Conditions. The app may also be accessed by other accounts associated with you through Family Sharing or volume purchasing;
  3. Simplisik LLC is solely responsible for maintaining and supporting the app. Apple has no obligation to provide any maintenance or support for it;
  4. if the app fails to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price of the app, if any. To the maximum extent permitted by law, Apple has no other warranty obligation for the app. Any other claims, losses, liabilities, damages, costs or expenses caused by a failure to conform to a warranty are Simplisik LLC’s responsibility, to the extent these Terms do not disclaim them;
  5. Simplisik LLC, not Apple, is responsible for addressing any claims by you or a third party relating to the app or your possession or use of it. These include (i) product liability claims, (ii) claims that the app fails to conform to a legal or regulatory requirement, and (iii) claims under consumer protection, privacy or similar laws;
  6. if a third party claims that the app or your possession or use of it infringes their intellectual property rights, Simplisik LLC, not Apple, is solely responsible for investigating, defending, settling and discharging that claim;
  7. you confirm that you are not located in a country subject to a U.S. government embargo or designated by the U.S. government as a “terrorist supporting” country, and that you are not on any U.S. government list of prohibited or restricted parties;
  8. questions, complaints or claims about the app should be sent to us at the address in Contact us;
  9. you must comply with any third-party terms that apply when you use the app, such as your wireless data service agreement;
  10. Apple and its subsidiaries are third-party beneficiaries of these Terms. Once you accept these Terms, Apple has the right, and is deemed to have accepted the right, to enforce them against you as a third-party beneficiary.

If you downloaded the app from Google Play, your use is also subject to the Google Play Terms of Service. Google is not responsible for the app or these Terms.

14. Suspension and termination

You can stop using the Services at any time. To end a paid plan, cancel it as described in Plans, trials and billing. You can delete individual tours in the dashboard at any time. To close your account and delete its data, use the account deletion option in the app or dashboard where available, or email privacy@scenava.com from your account email.

We may suspend or end your access to all or part of the Services in any of these cases:

  • you breach these Terms, including the acceptable use rules;
  • you do not pay fees when due;
  • the law requires it;
  • your use creates a security or legal risk or could harm others;
  • a free account has been inactive for 12 months or more.

Where practical, we will give you notice and a chance to fix the problem first. We may skip that step for serious violations or when the law requires. We may also discontinue the Services entirely. If we do, we will give at least 60 days’ notice and refund prepaid fees for the unused period.

When your account ends, your right to use the Services stops and your published tours stop working. We may delete Your Content 30 days after your account ends. We may delete it sooner if the law requires or the content is unlawful. Fees that were already due remain payable. Sections that by their nature should survive termination will survive. These include sections 5 (aggregated data), 7, and 12 through 21.

15. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT PERMITTED BY LAW, SIMPLISIK LLC DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY. THIS INCLUDES IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND ACCURACY, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT:

  • THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE;
  • TOURS, MEASUREMENTS OR FLOOR PLANS WILL BE ACCURATE OR COMPLETE;
  • ANY SCAN WILL PROCESS SUCCESSFULLY;
  • CONTENT WILL BE STORED WITHOUT LOSS.

The Services do not provide legal, appraisal, surveying, real estate or other professional advice. Some jurisdictions do not allow certain warranties to be disclaimed, so some of these disclaimers may not apply to you.

16. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

  1. SIMPLISIK LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES. THEY WILL ALSO NOT BE LIABLE FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL OR DATA (INCLUDING LOST SALES OR LEASES), OR FOR THE COST OF SUBSTITUTE SERVICES. THIS APPLIES TO CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF WE WERE ADVISED THAT SUCH DAMAGES WERE POSSIBLE; AND
  2. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (i) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY, OR (ii) US $100.

These limits apply to every theory of liability, whether contract, tort (including negligence), strict liability or otherwise. They do not limit liability for gross negligence, willful misconduct or fraud, for death or personal injury caused by our negligence, or for anything else that cannot be limited under applicable law. These limits are an essential part of the bargain between you and us.

17. Indemnification

You will defend, indemnify and hold harmless Simplisik LLC and its members, managers, employees, contractors and agents against any third-party claim, and the resulting liabilities, damages, losses, costs and expenses (including reasonable attorneys’ fees), arising from:

  1. Your Content, including claims by property owners, occupants, tenants or people shown in it;
  2. your use of the Services, including the sites where you embed tours and what you tell buyers, renters or guests; or
  3. your violation of these Terms, the law or anyone else’s rights.

We will promptly tell you about the claim and let you control its defense with counsel reasonably acceptable to us. We will reasonably cooperate at your expense. You may not settle a claim in a way that imposes obligations on us without our consent. If you use the Services as a consumer, this section applies only to the extent the law allows.

18. Dispute resolution and arbitration

a. Try to resolve it informally first

Before starting an arbitration or court case, the party with the dispute must send the other a written notice describing the dispute and the relief sought. Send yours to legal@scenava.com and to our mailing address. We will send ours to your account email. We both agree to try in good faith to resolve the dispute for 60 days after the notice is received. Statutes of limitation are paused during that period.

b. Agreement to arbitrate

Except as described in subsection (d), you and Simplisik LLC agree that any dispute, claim or controversy arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration, not in court. This includes disputes about the formation, scope or enforceability of this arbitration agreement. However, a court will decide disputes about the class action waiver in subsection (e) and the mass arbitration procedures in subsection (f). The Federal Arbitration Act governs this Section 18.

c. How arbitration works

The American Arbitration Association (“AAA”, adr.org) will administer the arbitration before a single arbitrator. If you are an individual using the Services primarily for personal, family or household purposes, the AAA’s Consumer Arbitration Rules apply. Otherwise, its Commercial Arbitration Rules apply. The arbitration is seated in Nashville, Davidson County, Tennessee. Hearings may be held by video conference. If you are an individual, you may choose to hold any in-person hearing in the county where you live.

The AAA’s rules govern payment of filing, administrative and arbitrator fees. For claims under the Consumer Rules, we will pay all such fees except the filing fee those rules assign to you. Each party bears its own attorneys’ fees unless the law or the AAA rules allow the arbitrator to award them. The arbitrator may award the same individual relief a court could. That relief may only benefit the individual party seeking it, and only as far as needed for that party’s individual claim.

d. Exceptions

Either party may:

  • bring an individual claim in small claims court in Davidson County, Tennessee, or in the county where you live, as long as the claim qualifies and stays in that court;
  • ask a court for injunctive or other equitable relief to stop actual or threatened infringement or misappropriation of intellectual property, or unauthorized access to or misuse of the Services.

e. Class action and jury trial waiver

YOU AND SIMPLISIK LLC MAY BRING CLAIMS AGAINST EACH OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE PROCEEDING. YOU AND WE EACH WAIVE THE RIGHT TO A JURY TRIAL. Except under subsection (f), the arbitrator may not combine more than one person’s claims.

If a court decides this class action waiver cannot be enforced for a particular claim or request for relief, that claim or request will be separated and decided by a court, after the individual arbitration ends. It will never be arbitrated on a class basis. The same applies to any request for public injunctive relief that the law does not allow to be waived.

f. Mass arbitration

If 25 or more substantially similar demands for arbitration are filed by or with help from the same law firm or coordinated group, the AAA’s Mass Arbitration Supplementary Rules apply. The demands may be administered in batches as those rules allow. Statutes of limitation are paused for each such claim from the date the first demand is filed until that claim is decided.

g. Your right to opt out

You may opt out of this arbitration agreement by emailing legal@scenava.com from your account email within 30 days after you first accept these Terms. Include your name, your account email and a clear statement that you opt out of arbitration. Opting out does not affect the rest of these Terms. If you opt out, disputes will be resolved in court as described in subsection (i).

h. Changes to this section

If we materially change this Section 18 after you accept it, you may reject the change by emailing us within 30 days after we notify you. If you do, the version you previously agreed to keeps applying. No change applies to a dispute that either of us notified the other about before the change took effect.

i. Courts

Any dispute that is not arbitrated will be decided exclusively in the state courts located in Davidson County, Tennessee, or the United States District Court for the Middle District of Tennessee. This includes disputes where you opted out of arbitration, where this agreement does not apply, or where it cannot be enforced. Small claims cases under subsection (d) are the exception. You and we consent to personal jurisdiction and venue in those courts. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND WE WAIVE ANY RIGHT TO A JURY TRIAL IN THOSE COURTS.

19. Governing law

These Terms, and any dispute between you and us, are governed by the laws of the State of Tennessee and applicable U.S. federal law, without regard to conflict-of-laws rules. The Federal Arbitration Act governs Section 18. The UN Convention on Contracts for the International Sale of Goods does not apply. If you are a consumer, this does not take away any protection you have under mandatory laws where you live.

20. Changes to these Terms

We may update these Terms from time to time. For a material change, we will give at least 30 days’ notice by email or in the Services before it takes effect. Changes required by law, and changes for new features, may take effect sooner. The “Last updated” date above shows the current version.

If you keep using the Services after a change takes effect, you accept the updated Terms. If you do not agree, stop using the Services and cancel your plan before the change takes effect. Price changes follow Plans, trials and billing, and changes to the arbitration agreement follow Section 18(h). Changes do not apply to disputes that arose before they took effect.

21. General terms

  • Entire agreement. These Terms, our Privacy Policy, and any plan terms shown when you buy make up the entire agreement between you and us about the Services. If you have a separate written agreement signed by us, it controls where it conflicts with these Terms.
  • Assignment. You may not assign these Terms without our written consent. We may assign them to an affiliate, or in connection with a merger, acquisition, reorganization or sale of assets.
  • Notices and electronic communications. We may give you notices by email to your account address, in the Services, or by posting them on our website. Send notices to us at legal@scenava.com and our mailing address. You agree that electronic agreements, notices and other communications satisfy any legal requirement that they be in writing.
  • Severability and waiver. If any part of these Terms is held unenforceable, it will be enforced as far as possible and the rest will remain in effect. Our failure to enforce a provision is not a waiver of it.
  • Force majeure. Neither of us is liable for delays or failures caused by events beyond reasonable control. Examples include natural disasters, outages of third-party networks or providers, labor disputes, war, terrorism and government action. This does not excuse payment obligations.
  • Relationship. We are independent contractors. These Terms create no partnership, joint venture, employment or agency relationship. Apple, under Section 13, and the people protected by Section 17 are the only third-party beneficiaries.
  • Export controls. You will comply with all applicable U.S. export control and sanctions laws.
  • U.S. government users. The Services are “commercial computer software” and “commercial computer software documentation”. They are provided to government users only with the rights in these Terms, as described in FAR 12.212 and DFARS 227.7202.
  • Interpretation. “Including” means “including without limitation”. Headings are for convenience only. The English version of these Terms controls.
